Draft, as of 19 October 2026. This translation is for information only; the German version is binding. Complete and have it legally reviewed before publication.
1. Scope
These terms apply to all contracts between [Name of the provider] (“we”) and our customers concerning the KI.ordo platform and concerning consulting, setup, training and development. Our offer is directed exclusively at entrepreneurs (Unternehmer) within the meaning of § 14 BGB, legal entities under public law and special funds under public law.
Deviating terms of the customer apply only if we expressly agree to them in text form.
2. Services
KI.ordo is software for creating and running AI agents, flows, knowledge sources, projects and organisation tools. The exact scope is described on the pricing page and in the respective offer.
- Start, Team and Business plans: We provide KI.ordo on our server. The customer uses the software via the browser.
- Enterprise plan: We install KI.ordo on a server of the customer or of a hosting provider commissioned by the customer and support its operation to the agreed extent.
Features marked “coming soon” are not part of the services owed until we release them.
For AI answers, KI.ordo uses language models from an AI provider, currently Claude by Anthropic. We may change the AI provider if this does not make the service materially worse for the customer.
3. Conclusion of contract
If the customer books a plan online, the contract is concluded when payment through our payment service provider is completed; the customer then creates their account. Otherwise, the contract is concluded when we confirm a booking or activate the service. For consulting, setup and development, our written offer applies.
4. Prices and payment
The prices applicable at the time of booking apply. Prices are [exclusive of statutory VAT]. Monthly fees are payable in advance and are invoiced via our payment service provider Stripe (for example by card or SEPA direct debit); Business and Enterprise by invoice on request.
The customer manages payment method, invoices, plan changes and cancellation in the Stripe customer portal, available in KI.ordo under Settings → Subscription. If a payment due is not made, we may lock the AI functions until payment is received; the customer’s content is kept.
Each plan includes the monthly AI credit stated on the pricing page. It is charged at the AI provider’s list prices; unused credit expires at the end of the month. Once the credit is used up, AI answers pause until the next month unless the customer orders an extension. Usage beyond that is billed by consumption [at the AI provider’s list prices, plus a surcharge if applicable]. If the customer uses its own account with the AI provider, the AI provider invoices the customer directly.
We announce price changes at least six weeks in advance in text form. The customer may then terminate with effect from the date of the change.
5. Term and termination
Contracts for plans run for an indefinite period and may be terminated [with one month’s notice to the end of a month]. The right to extraordinary termination for good cause remains unaffected.
After the contract ends, the customer can download its data via the export function for 30 days. After that, we delete it unless there is a statutory obligation to retain it. Backups are overwritten in the regular cycle.
6. Obligations of the customer
- Keep login details and API keys secret and change or revoke them immediately if misuse is suspected.
- Only upload or import content for which it holds the necessary rights, including third-party websites.
- Only process personal data if there is a legal basis for doing so.
- Inform visitors to its website if it uses the website chat, for example in its privacy policy.
- In flows with web requests, only address systems it is permitted to use.
7. Prohibited use
In particular, it is prohibited to use KI.ordo to infringe the rights of third parties, distribute unlawful content, spread malware, attack systems or overload the platform. The usage policies of the respective AI provider also apply. In the event of violations, we may temporarily block access; we will inform the customer of this.
8. AI results
Language models can be wrong, give incomplete answers or invent content. Results are suggestions. The customer checks them before using or passing them on, especially for legal, tax, medical or financial questions. Decisions are made by the customer.
9. Rights to content
The customer retains all rights to its content, i.e. knowledge sources, instructions, flows, conversations and results. It grants us only the rights we need to provide the service. We do not use customer content to train AI models.
The customer receives a simple, non-transferable right to use the KI.ordo software for the term of the contract.
10. Availability and maintenance
We endeavour to ensure trouble-free operation. We owe a specific level of availability only if this has been expressly agreed. Where possible, we announce maintenance work in advance. Disruptions at the AI provider or in third-party networks are beyond our control.
11. Data protection and processing on behalf
If we process personal data on behalf of the customer, we conclude a data processing agreement pursuant to Art. 28 GDPR. We list our subprocessors on the Subprocessors page.
12. Consulting, setup and development
We provide these services at the agreed fixed price or on a time and materials basis, as set out in the offer. A specific result is owed only if this has been expressly agreed. We treat confidential documents confidentially; on request, we conclude a non-disclosure agreement in advance.
13. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and to the extent of any guarantee we have assumed.
In the case of slight negligence, we are liable only for breach of material contractual obligations, i.e. obligations whose fulfilment makes the performance of the contract possible in the first place and on which the customer may rely. In this case, liability is limited to the foreseeable damage typical for the contract, [at most to the fees of the last twelve months].
For loss of data, we are liable only to the extent that would have arisen had the customer backed up its data regularly. If the customer runs KI.ordo on its own server, it is responsible for backing it up unless otherwise agreed.
14. Changes to these terms
We notify changes in text form at least six weeks before they take effect. If the customer does not object before they take effect, they are deemed accepted. We point out this consequence in the notification. If the customer objects, either party may terminate with effect from the date the changes take effect.
15. Final provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is [Location of the provider]. Should any provision be invalid, the remainder of the contract remains valid.
